Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription.
At the end of each Billing Cycle, your Subscription will automatically renew under the same conditions unless you cancel it or Mirello App Ltd cancels it. You may cancel your Subscription renewal either through your online account management page or by contacting Mirello App Ltd's customer support team.
A valid payment method, including a credit card, is required to process the payment for your Subscription. You shall provide Mirello App Ltd with accurate and complete billing information including full name, address, state, zip code, telephone number, and valid payment method information. By submitting such payment information, you automatically authorize Mirello App Ltd to charge all Subscription fees incurred through your account to any such payment instruments.Should automatic billing fail to occur for any reason, Mirello App Ltd will issue an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice.
Proration for Subscription Changes
If you upgrade or downgrade your Subscription plan mid-cycle, any applicable proration will be calculated based on the time remaining in your current Billing Cycle. Upgrades will result in an immediate charge for the prorated amount, and downgrades will apply at the start of the next Billing Cycle. No refunds or credits will be provided for downgrades mid-cycle unless required by law.
Mirello App Ltd, in its sole discretion and at any time, may modify the Subscription fees for the Subscriptions. Any Subscription fee change will become effective at the end of the then-current Billing Cycle. If you are on an annual subscription plan, the new fee will apply after your prepaid period ends.
Mirello App Ltd will provide you with reasonable prior notice (60 days) of any change in Subscription fees, either through email or through notifications within the Service, to give you an opportunity to terminate your Subscription before such change becomes effective.
Your continued use of the Service after the Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 60 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
Mirello App Ltd may, at its sole discretion, offer a trial period for certain subscription plans. During the trial period, you may access certain features of the Service free of charge. The length of the trial period and the features accessible during the trial will be specified at the time of sign-up.
At the end of the trial period, your subscription will automatically convert to a paid subscription, and you will be charged the applicable subscription fee unless you cancel before the trial period ends. You can cancel your subscription at any time during the trial period through your online account management page, or by contacting our customer support team at mirello.app@gmail.com.
Please note that if you cancel your subscription during the trial period, you will lose access to any features or content related to the trial immediately upon cancellation.
You may cancel your Subscription at any time through your online account management page or by contacting our customer support team. Upon cancellation, you will retain access to the Service until the end of your current Billing Cycle. At the end of the Billing Cycle, your Subscription will terminate, and you will no longer be charged.
If your account is terminated or suspended by Mirello due to a breach of these Terms, you will immediately lose access to the Service, and any content or data associated with your account may be deleted. If you believe your account was wrongfully terminated or suspended, you may contact customer support to appeal the decision.
Refunds and Mid-Cycle Cancellation
Subscription fees are non-refundable except as required by law. Refunds may be considered in limited circumstances, such as billing errors or technical issues that prevent you from accessing the Service. If you believe you qualify for a refund, please contact our customer support team.
If you cancel your Subscription mid-cycle, you will not receive a prorated refund for the remaining time in your Billing Cycle unless otherwise required by law.
Account Deletion
If you wish to permanently delete your account and associated data, you can use the account deletion option found in the Mirello app settings section. Upon permanent deletion, all personal data and content will be removed or anonymized, except as required by law.
If a payment for your Subscription fails, you will be notified and given a grace period of 14 days to update your payment information. During this grace period, you will retain access to the Service. If you do not update your payment information within the grace period, your Subscription will be suspended, and access to the Service will be restricted until the payment issue is resolved.
Mirello App Ltd reserves the right to terminate your Subscription if the payment issue is not resolved within the specified grace period.
If your account is suspended due to failed payments or a violation of these Terms, you may regain access by resolving the issue. For payment failures, updating your payment method and successfully completing the transaction will automatically reactivate your account. For violations of these Terms, you may need to contact customer support to address the issue before your account can be reactivated.
Mirello App Ltd reserves the right to determine whether reactivation is possible based on the severity of the violation or the nature of the suspension.
Our Service allows you to store and manage personal content, such as text, journal entries, goals, or responses to questionnaires ("Content"). You are solely responsible for the Content that you submit or store within the Service, including ensuring its legality, reliability, and appropriateness.
Mirello App Ltd does not access, use, modify, display, reproduce, or distribute your Content in any way. All Content you submit remains confidential, and you retain full ownership and control over your Content.
You represent and warrant that: (i) the Content is yours (you own it) or you have the necessary rights to use it within the Service, and (ii) your use of the Service and the storage of your Content does not violate any privacy rights, publicity rights, copyrights, contract rights, or any other rights of third parties.
User Content and Submissions on the Service
The Service allows you to create personalised frameworks and submit associated information, text, images, and other materials (collectively, “User Content”) and to share that User Content with others. User Content submitted or otherwise made available to the Service is subject to the following terms:
Users, whether Free or Paid, maintain ownership of the content they submit to the Mirello Service (“User Content”), including but not limited to journal entries, responses to questionnaires, and goal-related text. Mirello does not access, review, or interact with this User Content, except as required by law or in good faith to comply with legal processes.
By submitting User Content, you grant Mirello a limited license to access, use, copy, reproduce, process, and transmit the content only to the extent necessary to provide the Service (for example, for data storage and technical support). This license does not vary based on whether users use a Free or Paid account.
Mirello reserves the right to remove any User Content from the Service that violates these Terms or is otherwise objectionable at its sole discretion.
Feedback
The Service and the Websites may have certain features that allow you to submit comments, information, and other materials (collectively, “Feedback”) to Mirello, and/or share such Feedback with other users or the public. If you submit Feedback, Mirello may use such Feedback for any purpose without any compensation or obligation to you. We reserve the right to remove any Feedback posted in our public forums for any reason at our sole discretion.
User Content and Feedback Representations
You represent and warrant that you have all required rights to submit User Content and Feedback without violation or infringement of any third-party rights. You understand that Mirello does not control, and is not responsible for, User Content or Feedback, and that by using the Service and/or Websites, you may be exposed to User Content or Feedback from other users that is offensive, indecent, inaccurate, misleading, or otherwise objectionable.
As a paid subscriber, your personal data will be handled with the same care and protection as free users, with additional safeguards for payment information. We collect and store data such as your billing information, subscription history, and account details necessary for managing your Subscription. Mirello App Ltd does not access or use the content you post, store, or share through the Service, except as necessary to provide the Service or comply with legal obligations.
Your data will be retained for as long as necessary to fulfil the purposes for which it was collected, or as required by law. Upon termination of your Subscription, your account data will be deleted or anonymized, except as needed for legal, tax, or compliance purposes.

The Service, including all original content, features, and functionality (excluding Content provided by users), is and will remain the exclusive property of Mirello App Ltd and its licensors. This includes, but is not limited to, the design, layout, text, graphics, software, and any other elements that make up the Service. The Service is protected by copyright, trademark, and other intellectual property laws of the United Kingdom and other jurisdictions.
You may not use Mirello’s trademarks, logos, or trade dress in connection with any product or service without the prior written consent of Mirello App Ltd. Unauthorized use of any intellectual property belonging to Mirello App Ltd is strictly prohibited and may result in legal action.
Additionally, you agree not to reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any part of the Service, except as permitted under these Terms or with explicit written permission from Mirello App Ltd.
Mirello offers different features depending on your subscription plan. Free users have access to a limited set of features, while paid subscribers gain access to the full suite of tools and functionalities provided by the Service. Specific features available exclusively to paid subscribers may include, but are not limited to, enhanced journaling options such as creating custom tags, creating new goal categories or creating unlimited questionnaires.
Mirello App Ltd reserves the right to modify the features available to free and paid users at any time, and any changes to these features will be communicated to you in advance.
The Mirello Service, along with any User Content or other information accessible from the Service, is provided "as is," without any warranties, representations, conditions, or guarantees of any kind, either express or implied. To the fullest extent permitted by law, Mirello App Ltd disclaims all implied warranties, representations, conditions, or guarantees, including but not limited to implied warranties of quality, merchantability, fitness for a particular purpose, or non-infringement.
Specifically, but without limitation, Mirello App Ltd does not warrant that:
(i) the information available on the Service is free from errors or inaccuracies;
(ii) the features and functionalities of the Service (including mechanisms for uploading and accessing User Content) will be uninterrupted, secure, or free of errors;
(iii) any defects or issues will be corrected; or
(iv) the Service or the servers that make the Service available are free from viruses or other harmful components.
Mirello App Ltd does not warrant, endorse, guarantee, or assume responsibility for any third-party product or service advertised, offered, or linked to through the Service. Mirello will not be a party to or responsible for monitoring any transactions between you and third-party providers of products or services. Additionally, Mirello will not be liable for any offensive or illegal conduct by third parties, and you voluntarily assume the risk of any harm or damage arising from such conduct.
The foregoing limitations of liability apply even if a remedy fails its essential purpose and to the fullest extent permitted by law.
To the fullest extent permitted by applicable law, in no event shall Mirello App Ltd, its directors, officers, employees, agents, suppliers, partners, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to damages for loss of profits, data, use, goodwill, or other intangible losses. This includes damages arising from or in connection with:
(i) your access to or inability to use the Service or Subscription;
(ii) any third-party conduct or content on the Service;
(iii) any content obtained through the Service; and
(iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, regardless of whether Mirello App Ltd has been advised of the possibility of such damages.
Mirello App Ltd's total liability for any claim arising from or related to the Subscription will not exceed the amount paid by you for the Subscription during the 12 months preceding the claim. These limitations apply whether the claim is based on warranty, contract, tort (including negligence), or any other legal theory, regardless of whether Mirello App Ltd has been advised of the possibility of such damages.
These Terms shall be governed and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions.
Failure by us to enforce any right or provision of these Terms will not constitute a waiver of such rights. If any provision of these Terms is found to be invalid or unenforceable by a court, the remaining provisions will remain in full force and effect.
These Terms, along with any policies or legal notices incorporated by reference, constitute the entire agreement between you and Mirello App Ltd regarding the Service and supersede any prior agreements or understandings, whether oral or written, regarding the Service.
